First off, you need a skin editing program. I suggest using PaintNET, because it's a good drawing program and it's free.
Now that you got your drawing program, you need a template skin. You can open the Minecraft.jar file (with WinRar), go to "mobs" and copy the file named "char". You can also download the skin named "Steve" from the internet, that's the name of the player and the default skin.
With the skin template to work with, you can now begin working on your skin! Just make sure you've got some inspiration!
Here are some tips to making a great looking skin:
1. Don't copy or steal content from other skins! This is less copyright issue than the fact that pretty much everyone copies and your skin won't look so different from the others
2. Don't overdo with the "Noise". Your skin will look like a teenager with too much acne!
3. Only use the given resolution! If you want to make a 32x skin, you'll have to build it into a texturepack or wait for Minecraft 1.3 to come
4. Have your friends like the skin so that more people can see it.
5. Don't advertise too much on the chat! Only one link per 15 minutes. This, however, does help.
