Better cooler but worse motherboard. The Extreme4 will be better at overclocking due to it having a better phase count. The NH-D14 will run quieter and a little bit cooler than the Hyper 212 Evo but at a higher cost. The Hyper 212 Evo will get you a 4.1-4.3ghz overclock on the 4670k easily. The NH-D14 will give around a 4.2-4.4ghz overclock. Get the Extreme4 and whichever CPU Cooler will better fit your needs.
OEM copies of windows can only be used on one computer at a time. Non-OEM can be installed on a few at once.

Decent buildbut there are a few things I would change.
First off, the CPU is a generation old(3rd gen). Haswells(4th gen) are newer and better. Secondly, that CPU cooler is a waste of money if you are not overclocking. Thirdly, that graphics card is also and generation old and is way overpriced. It performs similar to the 760 which is half the price. You build lacks a power supply which you need if you want to have to computer turn on. Any reason you went with the professional version of Windows? Unless, you need the extra features, Home Premium would be fine and would save ~50$.
Anyways, here are two builds that are better. Both offer SLI if you ever choose to add a second 770 in the future.
